Terms of Service

These terms govern your use of Traffic OS, field-operations software provided by The Key Bot, 1168 W Pioneer Pkwy, Arlington, TX 76013. By creating an account, paying a subscription, or using the service, you agree to them. If you are agreeing on behalf of a company, you represent that you have authority to bind it.

1. The service

Traffic OS is a multi-tenant, hosted software service for traffic-control, barricade, and lane-closure operations. It includes customer records, quoting, jobs and dispatch, scheduling, daily tickets with on-site signature capture, a GPS time clock, inventory and equipment tracking, purchase orders, expenses, invoicing, and accounting sync. Features vary by plan. We may add, change, or remove features over time; we will not materially reduce the core functionality of a paid plan during a billing period without notice.

2. Accounts and users

You are responsible for your account, for keeping credentials secure, and for everything done under your users' logins. Each user must have their own login — credentials may not be shared. Tell us promptly at contact@thekeybot.com if you suspect unauthorized access. You are responsible for making sure your employees and crews are permitted to use the service and that any data you upload about them or your customers may lawfully be uploaded.

3. Plans, fees, and billing

  • Starter $499/month, 2 admins + 8 drivers included
  • Pro $949/month, 5 admins + 20 drivers included
  • Enterprise $1,499/month, 10 admins + 50 drivers included

Each plan carries a one-time setup fee disclosed at checkout. Seats beyond the included counts are billed at $20 per additional driver per month and $40 per additional admin per month.

Subscriptions are billed monthly in advance through Stripe and renew automatically until cancelled. Text messages sent through the platform are metered and billed in arrears on the following invoice at the per-segment rate then in effect. Fees are exclusive of taxes; you are responsible for applicable sales and use taxes. Prices may change with at least 30 days' notice, effective at your next renewal.

Late or failed payment may result in suspension after notice. Fees already paid are non-refundable except where required by law or expressly stated in writing.

4. Cancellation

Service is month-to-month with no long-term contract. You may cancel at any time; cancellation takes effect at the end of the current billing period and the service remains available until then. One-time setup fees are not refundable. After cancellation, your workspace data is retained for 90 days so you can export it or reactivate, and is then deleted — see the Privacy Policy for full retention detail. Export your data before that window closes.

We may suspend or terminate an account for non-payment, for violation of these terms, or where required by law, with notice except where the violation makes immediate action necessary.

5. Your data

You own the data you put into Traffic OS. You grant us a limited licence to host, process, transmit, and display it solely to provide and support the service, and to create backups. We do not sell your data and we do not use your operational data to advertise to you or to anyone else.

You are responsible for the accuracy and legality of the data you upload, including obtaining any consent needed to record employee location at clock-in and clock-out, to capture a signature and GPS position on a daily ticket, and to text your employees and customers.

6. Acceptable use

You agree not to:

  • Send unsolicited marketing texts or email through the platform, or use it in violation of the TCPA, CAN-SPAM, or carrier rules
  • Upload unlawful content, malware, or data you have no right to upload
  • Attempt to access another tenant's data, probe or breach security controls, or reverse-engineer the service
  • Resell, sublicense, or provide the service to a third party except as agreed in writing
  • Place unreasonable load on the platform, including automated scraping or bulk requests outside the documented API

7. Text messaging

Messaging through Traffic OS is subject to our SMS Messaging Terms, US carrier requirements, and A2P 10DLC registration rules. You are the sender of messages your workspace originates and are responsible for having consent from each recipient. Opt-out requests are honored automatically and permanently; you may not circumvent them. Carriers may filter, delay, or reject messages and we do not control that.

8. Third-party integrations

Traffic OS integrates with Stripe, Square, Intuit QuickBooks Online, Twilio, and other providers. Your use of those services is governed by their own terms, directly between you and them. We are not responsible for a third-party service's availability, changes to its API, or its handling of your data once you connect it. Disconnecting an integration may disable dependent features.

9. Availability and support

We work to keep Traffic OS available and to fix faults promptly, and we perform maintenance with as little disruption as we can. We do not currently offer a contractual uptime guarantee or service-level agreement. Enterprise plans receive priority support, meaning your requests are triaged ahead of other plans — it is a support-response commitment, not an uptime commitment. If we introduce a formal SLA it will be published as a separate document and referenced here.

10. Warranties and disclaimers

Traffic OS is provided “as is” and “as available”. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Traffic OS is a record-keeping and operations tool. It is not a compliance product and not a substitute for professional judgment. It does not determine whether a traffic-control plan, work-zone setup, permit, flagging operation, or device placement complies with the MUTCD, OSHA, or any state or local requirement. You remain solely responsible for compliance with all laws and regulations applicable to your work and for verifying requirements with the agency having jurisdiction.

11. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data, even if advised of the possibility. Our total aggregate liability arising out of or relating to the service is limited to the fees you paid us in the twelve months before the event giving rise to the claim. These limits do not apply to your payment obligations or to liability that cannot be limited by law.

12. Indemnity

You will defend and indemnify us against third-party claims arising from your data, your use of the service in breach of these terms, or your violation of law — including claims arising from messages your workspace sends without proper consent.

13. Changes to these terms

We may update these terms. For material changes we will give at least 30 days' notice by email to account administrators. If you do not accept a material change, your remedy is to cancel before it takes effect. Continued use after the effective date is acceptance.

14. Governing law

These terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. The exclusive venue for disputes is the state and federal courts located in Tarrant County, Texas, and both parties consent to that jurisdiction.
